1. Program Overview

The Fitomics Research Labs Ambassador Program ("Program") allows approved individuals ("Ambassadors") to earn commissions by referring customers to Fitomics Research Labs ("Fitomics," "we," or "us") through a unique promotion code. By participating in the Program, you agree to these Terms & Conditions ("Terms").

2. Eligibility & Acceptance

• You must be at least 18 years of age.
• You must complete an application and receive written approval from Fitomics.
• By submitting an application and participating in the Program, you acknowledge and agree to be bound by these Terms.
• Fitomics reserves the right to approve or deny any application at its sole discretion, without obligation to provide a reason.

3. Compensation

• Each Ambassador receives a unique promotion code that provides their referrals a discount on qualifying purchases.
• Ambassadors earn a commission on the net sale amount (after discounts) of qualifying orders placed using their code.
• The specific discount percentage and commission rate will be communicated to each Ambassador upon acceptance and are subject to change with notice.
• Commissions are tracked automatically. Self-referrals (using your own code on your own orders) are not eligible for commission.

4. Payouts

• Commissions are paid monthly for the prior month's confirmed orders, subject to a minimum payout threshold of $25.
• Payouts are issued via the agreed-upon mechanism (PayPal, Zelle, or Wise) as specified in your Ambassador Dashboard.
• Orders that are refunded, disputed, or charged back will be deducted from future commissions.
• Ambassadors are responsible for providing accurate payout information. Fitomics is not responsible for failed payments due to incorrect information.

5. Tax Obligations & W-9

• Ambassadors are independent contractors, not employees of Fitomics. No employment benefits, insurance, or protections are provided.
• Ambassadors are solely responsible for reporting and paying all applicable taxes on commission income.
• U.S.-based Ambassadors earning $600 or more in a calendar year are required to complete a W-9 form. Fitomics will issue a 1099-NEC for such earnings.
• Failure to provide a completed W-9 when requested may result in payout withholding until the form is received.

6. Promotion Code Usage

• Each Ambassador receives one unique promotion code for personal sharing — social media, direct referrals, and content creation.
• Codes may not be posted on coupon aggregator sites (e.g., RetailMeNot, Honey, Groupon).
• Misuse of promotion codes may result in immediate termination from the Program and forfeiture of unpaid commissions.

7. Brand Guidelines & Conduct

• Ambassadors may not make medical claims or imply that lab testing diagnoses, treats, or cures any condition.
• All promotional content must clearly state that Fitomics provides lab testing for informational and research purposes.
• Ambassadors may not represent themselves as employees, agents, or medical professionals of Fitomics.
• Fitomics may provide approved messaging and assets; use of unapproved medical or health claims is strictly prohibited.

8. Termination

• Fitomics may terminate the Ambassador relationship at any time, for any reason, with or without notice.
• The Ambassador may terminate their participation at any time by providing written notice to labs@fitomics.org.
• Upon termination, the Ambassador's promotion code will be deactivated immediately.
• Commissions for confirmed orders placed prior to termination will still be paid out, subject to the minimum payout threshold.

9. Program Modifications

• Fitomics reserves the right to modify, suspend, or discontinue the Program at any time, including changes to commission rates, discount percentages, payout thresholds, or any other program terms.
• Material changes will be communicated via email or through the Ambassador Dashboard.
• Continued participation in the Program after notice of changes constitutes acceptance of the modified terms.

10. Liability & Indemnification

• Ambassadors agree to indemnify and hold harmless Fitomics, its officers, directors, and employees from any claims, damages, or liabilities arising from the Ambassador's promotional activities or breach of these Terms.
• Fitomics is not liable for any representations made by Ambassadors beyond official approved materials.
• The Program is provided "as is" without warranties of any kind regarding commission earnings or program continuity.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from or related to these Terms shall be resolved in the courts of Texas.
